§ 13. [Revocation.]

The grantor may revoke this franchise at any time if there is a breach or violation of its terms. The grantor shall provide at least ninety (90) days' written notice to the grantee of its intent to revoke the franchise and shall provide sufficient time to the grantee to answer, respond and correct the problems which caused the breach.

AN ORDINANCE NO. 11437, SAID ORDINANCE NO. 11437 HAVING GRANTED UNTO ASSOCIATED NATURAL GAS COMPANY, A DIVISION OF ARKANSAS WESTERN GAS COMPANY, ITS SUCCESSORS AND ASSIGNS, THE RIGHT AND PRIVILEGE AND FRANCHISE TO LAY GAS MAINS ALONG, UNDER AND THROUGH THE STREETS, AVENUES, ALLEYS, ROADS AND HIGHWAYS AND OTHER PUBLIC PLACES OF THE CITY, FOR THE PURPOSE OF DISTRIBUTING AND SELLING GAS TO THE INHABITANTS OF SAID CITY AND TO OTHERS, AND ALSO THE RIGHT TO LAY PIPELINES IN, TO, THROUGH AND UNDER THE STREETS, ALLEYS, AVENUES, ROADS, HIGHWAYS AND OTHER PUBLIC PLACES AND GROUNDS OF THE CITY FOR THE PURPOSE OF CONVEYING GAS THROUGH AND IN SAID CITY FOR DISTRIBUTION AND SALE OF GAS TO THE INHABITANTS OF SAID CITY, AND TO OTHERS, FOR DOMESTIC, COMMERCIAL AND INDUSTRIAL PURPOSES, SUBJECT TO THE TERMS HEREIN.

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF KIRKSVILLE, ADAIR COUNTY, MISSOURI:

Ordinance No. 11437, which was passed by the City Council of the City of Kirksville, Missouri (the "Grantor") on March 20, 2000, and accepted by Associated Natural Gas Company (the "Grantee"), is hereby amended by changing the Grantee from Associated Natural Gas Company to United Cities Gas Company, a division of Atmos Energy Corporation, a corporation organized and existing under the laws of the State of Texas and the Commonwealth of Virginia, which has acquired the Missouri natural gas distribution assets of Associated Natural Gas Company, a division of Arkansas Western Gas Company. Any and all rights and responsibilities under the natural gas franchise previously granted to Associated Natural Gas Company are conferred to United Cities Gas Company, a division of Atmos Energy Corporation.
